These Terms and Conditions govern the relationship between Easy Pay International Services Limited ("Easy Pay") and the Agent/Merchant ("You"). By clicking "I Agree" you accept and are hereby bound by these Terms electronically.
You are appointed as an independent Agent/Merchant with non-exclusive authority to promote and provide Easy Pay services in Nigeria. You act only as an independent contractor and not as Easy Pay's employee, partner or legal agent. This appointment is non-transferable and limited to the location registered with Easy Pay.
This appointment shall take effect from the date of acceptance of these Terms and shall remain valid for a period of one (1) year, subject to renewal or earlier termination.
You shall not accept an appointment from any other Principal, whether directly or indirectly, until the termination or expiration of this Agreement.
You may carry out the following services through Easy Pay POS terminals:
You must not engage in lending, foreign-exchange, investment, or any other non-permitted activity.
In consideration of the Services, you are entitled to a commission of 0.5% capped at NGN1,000 for card transactions. For other products, services or transactions under this Agreement, you must follow Easy Pay's pricing schedule that will be provided and updated from time to time. You must not charge customers any additional or unauthorized fees. Commissions are payable only on valid and completed transactions. Easy Pay may revise pricing or commission terms with seven days' notice.

Monies deposited with designated banks will be converted into e-float in your Easy Pay account. Transactions are settled against this balance. Commissions and funds remain your property, subject to lawful deductions for chargebacks, regulatory penalties or sums owed to Easy Pay.
You must keep confidential all information received from Easy Pay, including technology, business methods and customer data. By accepting these Terms, you acknowledge and accept Easy Pay's Privacy Policy as published on its website and app, which may be updated from time to time.
You must not engage in fraudulent transaction, unauthorized dealings, profit-sharing with Easy Pay staff, or practices harmful to Easy Pay's reputation. Easy Pay may suspend or terminate your account immediately if such conduct is discovered or may in addition to such suspension or termination seek legal redress.
Easy Pay may inspect your operations and review your financial records at any time to confirm compliance with these Terms and applicable regulations.
Either Party may terminate this relationship by giving 30 days' written notice. Easy Pay may suspend or terminate immediately in case of:
Termination automatically ends your authority to operate as an Easy Pay Agent and requires return of all devices.
You are liable for losses, claims or penalties caused by your fraud, negligence, breach of KYC or AML obligations, or unauthorized transactions. Easy Pay may recover such losses by debiting your account.
Easy Pay will provide initial and periodic training on AML/CFT compliance, transaction handling, consumer protection, liquidity management, and customer service. You must complete all assigned training sessions at least twice yearly to retain active status.
All transactions must pass through your dedicated Easy Pay Agent Account or Wallet only. You shall not use personal or third-party accounts for Agent operations. Any activity outside the dedicated account is a regulatory breach and may result in termination and blacklisting.

Easy Pay shall resolve customer complaints within seven (7) working days and maintain a log of reported incidents and resolutions.
Disputes will first be resolved through negotiation within 20 days. If unresolved, they will be referred to mediation under the Arbitration and Mediation Act 2023. Either Party may seek urgent relief from a court of competent jurisdiction.
Neither Party is liable for failure to perform obligations caused by natural disasters, civil unrest, network or system failure, regulatory suspension, or any event beyond its control. Affected obligations shall resume once conditions normalize.
These Terms and all disputes arising from them are governed by the laws of the Federal Republic of Nigeria.
