Easy Pay POS Terms and Conditions

These Terms and Conditions govern the relationship between Easy Pay International Services Limited ("Easy Pay") and the Agent/Merchant ("You"). By clicking "I Agree" you accept and are hereby bound by these Terms electronically.

  1. Appointment, Scope and Duration

    You are appointed as an independent Agent/Merchant with non-exclusive authority to promote and provide Easy Pay services in Nigeria. You act only as an independent contractor and not as Easy Pay's employee, partner or legal agent. This appointment is non-transferable and limited to the location registered with Easy Pay.

    This appointment shall take effect from the date of acceptance of these Terms and shall remain valid for a period of one (1) year, subject to renewal or earlier termination.

    You shall not accept an appointment from any other Principal, whether directly or indirectly, until the termination or expiration of this Agreement.

  2. Authorised Services

    You may carry out the following services through Easy Pay POS terminals:

    1. Cash-in (deposit) and cash-out (withdrawal) within approved limits
    2. Bill payments and airtime/data purchase
    3. Domestic fund transfers (Naira only)
    4. Account-opening form distribution and submission on behalf of partner banks
    5. Balance enquiry and mini-statement generation
    6. Any other CBN-approved service introduced by Easy Pay

    You must not engage in lending, foreign-exchange, investment, or any other non-permitted activity.

  3. Compliance Obligations

    1. You must comply with all applicable laws, Central Bank of Nigeria circulars and regulations, including CBN Guidelines on Agent Banking 2025, AML/CFT/CPF Regulations, the Nigeria Data Protection Act 2023, KYC requirements and other applicable laws as well as Easy Pay's policies.
    2. You must provide complete documentation before activation, including BVN, NIN, TIN, proof of address, and business registration where applicable.
    3. Easy Pay may impose transaction limits which must not be exceeded. Current limits are: cash-out limit of N500,000 per week per customer, daily maximum transaction cash-out limit of N100,000 per customer and maximum daily cumulative agent pay-out limit of N1,200,000.
    4. You must maintain accurate records and submit them on request by Easy Pay or the CBN.
  4. Pricing and Commission

    In consideration of the Services, you are entitled to a commission of 0.5% capped at NGN1,000 for card transactions. For other products, services or transactions under this Agreement, you must follow Easy Pay's pricing schedule that will be provided and updated from time to time. You must not charge customers any additional or unauthorized fees. Commissions are payable only on valid and completed transactions. Easy Pay may revise pricing or commission terms with seven days' notice.

  5. Agent Responsibilities

    You shall:

    1. Keep transaction records for a minimum of five (5) years.
    2. Maintain the safety and confidentiality of all POS devices, cards, and records.
    3. Operate only at the registered location and within working hours approved by Easy Pay.
    4. Promptly report suspicious or fraudulent activities to Easy Pay.
    5. Observe the Code of Conduct and operational guides issued by Easy Pay.
  6. Easy Pay Responsibilities

    Easy Pay shall:

    1. Remain responsible to regulators for all Agent activities.
    2. Provide functional POS devices and ensure real-time transactions.
    3. Maintain effective risk-management, monitoring, and dispute-resolution systems.
    4. Conduct periodic training and inspections.
    5. Protect Agent and customer data.
  7. E-Float and Settlement

    Monies deposited with designated banks will be converted into e-float in your Easy Pay account. Transactions are settled against this balance. Commissions and funds remain your property, subject to lawful deductions for chargebacks, regulatory penalties or sums owed to Easy Pay.

  8. Confidentiality and Data

    You must keep confidential all information received from Easy Pay, including technology, business methods and customer data. By accepting these Terms, you acknowledge and accept Easy Pay's Privacy Policy as published on its website and app, which may be updated from time to time.

  9. Conduct and Restrictions

    You must not engage in fraudulent transaction, unauthorized dealings, profit-sharing with Easy Pay staff, or practices harmful to Easy Pay's reputation. Easy Pay may suspend or terminate your account immediately if such conduct is discovered or may in addition to such suspension or termination seek legal redress.

  10. Inspection and Audit

    Easy Pay may inspect your operations and review your financial records at any time to confirm compliance with these Terms and applicable regulations.

  11. Termination and Suspension

    Either Party may terminate this relationship by giving 30 days' written notice. Easy Pay may suspend or terminate immediately in case of:

    1. Fraud, gross negligence, or regulatory breach
    2. Misuse of POS terminals or unauthorized charges
    3. Violation of these Terms or any law in force

    Termination automatically ends your authority to operate as an Easy Pay Agent and requires return of all devices.

  12. Liability and Indemnity

    You are liable for losses, claims or penalties caused by your fraud, negligence, breach of KYC or AML obligations, or unauthorized transactions. Easy Pay may recover such losses by debiting your account.

  13. Training and Operational Standards

    Easy Pay will provide initial and periodic training on AML/CFT compliance, transaction handling, consumer protection, liquidity management, and customer service. You must complete all assigned training sessions at least twice yearly to retain active status.

  14. Agent Dedicated Account

    All transactions must pass through your dedicated Easy Pay Agent Account or Wallet only. You shall not use personal or third-party accounts for Agent operations. Any activity outside the dedicated account is a regulatory breach and may result in termination and blacklisting.

  15. Branding and Signage

    You must display at your business premises:

    1. Easy Pay name and logo
    2. Appointment letter or certificate
    3. List of available services and applicable charges
    4. Notice: "Agent Banking Services provided on behalf of Easy Pay International Services Limited."

    You must not use words such as "bank," "finance," or similar terms implying that you are a financial institution.

  16. Customer Protection

    You shall:

    1. Issue receipts or electronic acknowledgments for every transaction.
    2. Request and retain a copy of valid government-issued ID for transactions as required by law.
    3. Treat customer information as confidential and use it only for legitimate transaction purposes.
    4. Display Easy Pay's customer-service contacts for enquiries or complaints.

    Easy Pay shall resolve customer complaints within seven (7) working days and maintain a log of reported incidents and resolutions.

  17. Dispute Resolution

    Disputes will first be resolved through negotiation within 20 days. If unresolved, they will be referred to mediation under the Arbitration and Mediation Act 2023. Either Party may seek urgent relief from a court of competent jurisdiction.

  18. Force Majeure

    Neither Party is liable for failure to perform obligations caused by natural disasters, civil unrest, network or system failure, regulatory suspension, or any event beyond its control. Affected obligations shall resume once conditions normalize.

  19. Governing Law

    These Terms and all disputes arising from them are governed by the laws of the Federal Republic of Nigeria.
